• There are still no details on how OpenAI’s restructure will give the board legally enforceable powers to make sure OpenAI’s day to day operations serve its non-profit mission, not investors. OpenAI CEO, Sam Altman, has also removed the profit cap for investors, meaning even greater investor influence over OpenAI’s direction.

• We urge you to take these issues seriously and use your leverage as the non-profit commission to put OpenAI back on track with its non-profit charter.

• Sam Altman can’t be trusted. We urge you to be steadfast in your scrutiny of OpenAI’s leadership and the impact their decisions will have on the future of AI.

• I urge you to prioritize the importance of board oversight over philanthropic activity in your recommendations. Whether AI serves the public good will depend on governance mechanisms that legally enforce OpenAI’s mission and therefore the responsible development and deployment of AI technologies.
